1. Preamble
The following conditions apply to all products offered (new or used), services and spare parts manufactured or distributed by Agria Hispania, S.L. Placing an order implies that the buyer accepts these Terms and Conditions, and the exclusion of all others. These General Sales Conditions are available on the website www.agrimac.es
2. Purchase order
Agria Hispania will only accept written purchase orders, excluding any other method. Order must be signed by a person authorized to represent the applicant company. It should include the configuration of the machine to be requested, price and method of payment.
3. Price of the machines
Are expressed in euros and don’t include taxes (direct or indirect). Otherwise agreed sales conditions are EXWORKS AMOREBIETA (EXW-Incoterm).
4. Terms
The delivery times indicated on the order confirmation are approximate and may not give rise to penalties for any delays or damages. Should the order include special accessories not included in the current list price, the buyer cannot cancel the order. Buyer has 30 days for the collection of the goods. After that period a 0.5% daily charge will be applied as storage surcharge.
5. Modification and cancellation of purchase order
Once the purchase order is confirmed, no change in the configuration or cancellation of the order can be made without prior written authorization by Agria Hispania.
6. Complaints and warranty
Any complaint about the nonconformity of the products received with regards to the products supplied, must be made according to the channels and the terms established in the general warranty procedure. The buyer expressly acknowledges having received, accepted the general conditions of our guarantee policy.
7. Returns
The returns of the machines will not be accepted, unless express and written authorization of the management of Agria Hispania. If approved, 40% of the import of the machines will be applied. Transportation to the place of production will be paid by the purchaser. Also, the machines must be delivered with the original configuration and in perfect conditions, without being used. If there are any expenses needed to be done according to Agria Hispania to return the machine to the original condition Agria is entitled to invoice this cost to the purchaser. Machine orders or special accessories not included in the current price list shall not be subject to any modification or cancellation.
8. Payment
Except where otherwise stipulated, invoices must be paid in advance with 20% at the time of order and 80% before collection. In case of an authorized delayed payment the period shall begin on the date of the invoice. Orders for special accessories or special machines are not subject to any type of payment deferment. The place for the payment obligation will be the registered office of Agria Hispania S.L., unless otherwise agreed.
9. Delay
Any delays in payment will automatically give rise, without prior notice, to interest for late payment of 1% per month of delay, calculated on the amount owed and the period between the due date and the value date of the funds received in payment. The default of a debtor to a deadline after a prior extension agreement, makes all our debt immediately payable. This non-payment will result in the automatic termination of contracts and orders.
10. Ownership
Ownership of the product will be Agria Hispania until the payment of 100% of the amount of the invoice issued. In the event of insolvency, bankruptcy or liquidation of the buyer, Agria Hispania acquires the right to recover the goods supplied as collateral for the pending payments to be received.
11. Protection of personal data
In compliance with the Organic Law 15/1999 of December 13, Protection of Personal Data, personal data of the buyer will be incorporated and will be treated in the files ownership of Agria Hispania, SL These data will not be disclosed to third parties without your consent.
The buyer can exercise the rights of access, rectification, cancellation and opposition of their data by written communication to Agria Hispania S.L., Barrio Euba S / N-48340 Amorebieta, Vizcaya, España.
12. Applicable law and jurisdiction
The conclusion of this contract is subject exclusively to Spanish law without the possibility of recourse to its rules of conflict of laws. Any dispute regarding the interpretation and / or execution of these conditions of sale will be sent to the Courts of the City of Bilbao (Spain), unless otherwise agreed.
